TMB: The history of Tamilnad Mercantile Bank Ltd., the then Nadar Bank Ltd., dates back to 1921. The thought of establishing a bank under the guidance of the able Nadar business community was mooted on the Anniversary of the Nadar Mahajana Sangam held at Tuticorin in 1920. The proposal was effected soon. The bank was registered on May 11, 1921, as “The Nadar Bank Ltd”. A group of dedicated men with shrewd acumen and sound integrity had been constituted as the Board of Directors, and they elected Shri M.V. Shanmugavel Nadar as Chairman on Nov 04, 1921. The bank was opened by Shri T.V. Balagurusamy Nadar, the then President of the Nadar Mahajana Sangam, and the bank threw open its door to the public on Nov 11, 1921, at 9 am in Ana Mavanna Building at South Raja Street, Tuticorin.

Detailed Eligibility for TMB Bank Recruitment:
Educational Qualification:
Company Secretary:
- UG/PG in the regular stream and Qualified ACS (Associate Member of the Institute of Company Secretaries of India)
Experience:
- Minimum seven years of work experience as Company Secretary in a listed company. (Persons who have worked in the Secretarial section of a Bank or Large NBFC or Financial Institution will be an added advantage)
Membership: Member of the Institute of Company Secretaries of India (ICSI).
Roles and Responsibilities:
- Compliance Officer for SEBI purposes.
- Conducting meetings of the Board of Directors and other Committees of the Board.
- Arranging the regulatory training programmes for Board members/Senior executives.
- Conducting annual general meetings and related work, including preparing and circulating AGM notices and annual reports.
- Conducting regular Analyst/Investor meetings.
- Reconciliation of Share Capital Audit as per Regulation 76 of the SEBI (Depositories and Participants) Regulations, 2018.
- Coordinating with our Registrar and Share Transfer Agent (RTA) in handling investor service requests of our shareholders
- Dividend distribution – Obtaining permission from the Board/AGM for distribution / keeping in abeyance of dividend, coordinating with our RTA in file preparation and other related correspondence
- Transfer of dividend/shares to Investor Education and Protection Fund (IEPF)
- Updation/Maintenance of Memorandum & Articles of Association
- Updation/Review of policies related to the Secretarial Section
- Personal files of executives – Maintenance, Correspondence
- Corporate record maintenance
- Meeting resolution on time preparation
- Company law updates
- Annual Report Preparation
- Other works related to the secretarial section
Age Limit ( As on 31 March 2024): Minimum 40 years and not more than 50 years
Pay Scale: As applicable to Scale V officers (under the new pay structure).
